ARTICLES OF AGREEMENT of A NEW HAMPSHIRE NONPROFIT CORPORATION

The undersigned, being persons of lawful age, associate under the provisions of the New Hampshire Revised Statutes Annotated, Chapter 292, by the following:

Article 1. The name of the corporation shall be:

Nova Roma

Article 2. The object for which this corporation is established is:

The modern restoration of the ancient Roman Republic, as reflected in the organization's cultural, religious and social activities; the promotion of awareness of ancient Rome through educational, religious and charitable projects.

Article 3. The provisions for establishing membership and participation in the corporation are:

Membership, hereafter referred to as "Citizenship," is free of charge, and is open to all persons over 18 years of age. Persons between 15 and 18 may become citizens with written permission of a parent.

Citizenship takes effect as soon as the application is received and has been reviewed by one or both Censors. The new Citizen will also be issued a unique voter code to be used when participating in Nova Roma elections.

The directors of this corporation are those referred to within Nova Roma as the "Senate."

Article 4. The provisions for disposition of the corporate assets in the event of dissolution of the corporation, including the privatization of rights of shareholders and members to corporate assets, are:

Citizens are not entitled to receive any share of corporate assets in the event of dissolution of the corporation. In said event, any assets remaining to the corporation will be disbursed by a decision of the Senate, or if this body is unavailable or unable to come to a decision, by a decision of the Collegium Pontificum, or if this body is unavailable a decision will be made by the founders of Nova Roma, Joseph Bloch and William K. Bradford. Said assets will be donated to charitable causes in keeping with the spirit of Nova Roma. Such causes include, but are not limited to, the promotion of Latin education, the purchase of Roman-related history books for dissemination in public libraries, the preservation of ancient Roman religious sites and the sponsorship of educational activities related to ancient Rome.

In the event of dissolution of the corporation, the name "Nova Roma" and the Internet domain www.novaroma.org shall revert to the founders of Nova Roma, Joseph Bloch and William K. Bradford. If they are unavailable or unwilling to assume responsibility for the Internet domain, the name will be made available on the open market and sold to the highest bidder, with proceeds going to pay the debts of the corporation and any remaining proceeds being distributed to charitable causes as described above.

Article 6. The amount of capital stock, if any, or the number of shares or membership certificates, if any, and provisions for retirement, reacquisition and redemption of those shares or certificates are:

Article 7. Provision eliminating or limiting the personal liability of a director, an officer or both, to the corporation and its shareholders for monetary damages for breach of fiduciary duty as a director, an officer or both is:

Directors, officers, magistrates and pontifices of Nova Roma may not be held personally liable for monetary damages for breach of fiduciary duty, except with respect to knowing violations of civil law or any transaction from which the official derived an improper and substantial personal benefit.
